OFFICIAL RULES
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THE SWEEPSTAKES, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH SHALL BE FINAL AND BINDING IN ALL RESPECTS. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT. INTERNET ACCESS REQUIRED TO PARTICIPATE.
1. ELIGIBILITY: The Sweepstakes is open only to legal U.S. residents residing in one (1) of the fifty (50) United States or the District of Columbia who are at least twenty-one (21) years of age and possess a valid US driver’s license or government issued photo ID at the time of entry. The following persons are not eligible to participate: employees, contractors, directors, officers, and representatives of Frito-Lay, Inc. (“Sponsor”); Genesco Sports Enterprises, Inc. (“Administrator”), and each of their respective parents, subsidiary and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Promotion Parties”), and the immediate family members of each (spouse, parent, child, sibling, grandparent, and/or “step” and their respective spouses, regardless of where they reside) and individuals living in their same households (those persons whether related or not who live in the same residence for at least three (3) months during the twelve-month period preceding the start date of the Sweepstakes). Void where prohibited by law. Subject to all applicable federal, state and local laws and regulations.
2. SWEEPSTAKES PERIOD: The Sweepstakes begins on April 14, 2025 at the time of Sponsor’s Sweepstakes Post (defined below) and ends on April 15, 2025 at 11:59:59 p.m. Eastern Time (“ET”) (“Sweepstakes Period”). The time clock of the computer administering the Sweepstakes is the official time-keeping device of the Sweepstakes.
3. HOW TO ENTER: During the Sweepstakes Period, there are two (2) ways to enter as outlined below.
A. Enter via Instagram: During the Sweepstakes Period, look for the advertised Sponsor’s post that promotes this Sweepstakes on Instagram.com/officialfritos (the “Sweepstakes Post”). Next, use your personal Instagram account (on your mobile device or a desktop/laptop computer) to comment on the Sweepstakes Post with hashtag #FritosStagecoachSweepstakes (the “Hashtag”) (altogether, the “Entry”) to receive one (1) entry into the random drawing. Entrant must be a registered user of Instagram and follow Sponsor’s handle @officialfritos on Instagram for the duration of the Sweepstakes. To create a free Instagram account, follow the onscreen instructions to register at http://Instagram.com. By submitting your information and creating an Instagram account, you will be required to agree to the Instagram terms of service and privacy policy. If you do not agree, you cannot create an Instagram account or participate in this Sweepstakes via this method. To become a follower of @officialfritos, visit Instagram.com/officialfritos and choose to follow. Entrants’ Instagram accounts MUST be set to receive Direct Messages from everyone to be notified if they are the potential winner. (In the message controls, enable “direct messages” and allow messages from everyone; tap “Save”.) Entries not received by Sponsor will not be entered into the Sweepstakes. By taking the steps above you are confirming your acceptance of and agreement to these Official Rules.
B. Enter via TikTok: During the Sweepstakes Period, look for the advertised Sponsor’s post that promotes this Sweepstakes on TikTok.com/officialfritos (also “Sweepstakes Post”). Next, use your personal TikTok account (on your mobile device or a desktop/laptop computer) to comment on the Sweepstakes Post with hashtag
#FritosStagecoachSweepstakes (the “Hashtag”) (altogether, the “Entry”) to receive one (1) entry into the random drawing. Entrant must be a registered user of TikTok and follow Sponsor’s handle @officialfritos on TikTok for the duration of the Sweepstakes. To create a free TikTok account, follow the onscreen instructions to register at TikTok.com. By submitting your information and creating a TikTok account, you will be required to agree to the TikTok terms of service and privacy policy. If you do not agree, you cannot create a TikTok account or participate in this Sweepstakes via this method. To become a follower of @officialfritos, visit TikTok.com/officialfritos and choose to follow. Your TikTok profile must be public and viewable by the Sponsor and its Administrator and allow direct messages from anyone so that you may be contacted by Administrator if you are selected as a winner. Entries not received by Sponsor will not be entered into the Sweepstakes. By taking the steps above you are confirming your acceptance of and agreement to these Official Rules.
You must include the Hashtag for your Entry to be eligible for the Sweepstakes. By entering the Sweepstakes, you are consenting to receive direct messages to the social media account used for entry, if you are selected as the potential winner.
If entering with a mobile phone or other web-enabled device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply. Check with your wireless service provider for details on these and any other applicable charges. Entrants are solely responsible for any such wireless charges. Mobile entry is not required to submit an Entry or win the prize in this Sweepstakes.
Entry Limits: Limit one (1) Entry per person per Instagram account during the Sweepstakes Period. Limit one (1) Entry per person per TikTok account during the Sweepstakes Period.
Entries will not be judged. Any content included within the Entry will not be judged or used in any way to determine a potential winner. However, any Entry containing inappropriate content, as determined by Sponsor, in its sole discretion, will be considered an invalid Entry and Sponsor reserves the right, in its sole discretion to disqualify entrant from further participation in the Sweepstakes.
Additional Entry guidelines:
Entry submission must be manually key stroked and/or manually entered by the individual entrant; automated and/or repetitive electronic submission of Entries (including but not limited to Entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from such scripts, macros, bots or sweepstakes services, social media accounts or IP addresses may be blocked. If it is discovered that an entrant used multiple social media accounts or manipulated their contact information, for the purpose of obtaining more than the allowed number of Entries, as stated above, such persons will be disqualified and all of their Entries shall be deemed invalid and any prize awarded to them shall be forfeited.
Incomplete, deceptive or garbled Entries are not eligible. Sponsor is not responsible for misspellings, typographical errors, or other issues that may affect the ability to locate or record an Entry. Entry must comply with these Official Rules and the Instagram Terms of Use and Community Guidelines and/or TikTok’s Terms of Use found at https://www.instagram.com/legal/terms or https://www.tiktok.com/en/terms-of-use respectively (depending on the entry method used to enter). In the event of a conflict between the Official Rules and Instagram Terms of Use and Community Guidelines or TikTok’s Terms of use, the Sweepstakes Official Rules shall govern.
All entrants must have a valid email address. The name of the person submitting the Entry into the Sweepstakes must be the authorized account holder of the email address associated with the social media account used to enter, otherwise the Entry may be deemed void. Multiple entrants may not share the same email address or social media account(s). In the event of a dispute over the identity of an entrant, the Entry will be declared made by the authorized account holder of the email address associated with the social media account in which the Entry submitted. The potential winner may be required to provide identification sufficient to show that he or she is the authorized account holder of such account.
Those who do not follow all of the instructions, provide the required information in their Entry, or abide by these Official Rules or other instructions of Sponsor may be disqualified. All entrants submitting materials/content/comments as part of the Sweepstakes will be non-exclusively licensing (with the unlimited right to sublicense) to Sponsor and Promotion Parties the right to use such materials, and the images related thereto (including entrant’s name, social media account username and likeness), for any purpose (including any and all commercial purposes) with the right to modify the materials and make derivative works thereof. Entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.
4. RANDOM DRAWING: The potential winner will be selected on or about April 16, 2025 via a random drawing from among all eligible Entries received (from both entry methods) by the Administrator, whose decisions are final in all matters relating to this Sweepstakes. Odds of winning depend on the number of eligible entries received from both entry methods.
5. PRIZE DETAILS: One (1) prize is available to be awarded, consisting of two (2) Corral Standing Pit passes to the Stagecoach Festival scheduled to take place April 25, 2025 through April 27, 2025 in Indio, CA (“Festival”). Transportation, accommodations, parking, upgrades, meals, gratuities, and all other expenses not specified herein are solely the winner’s responsibility. See below for additional prize conditions. Approximate Retail Value (“ARV”) is $3,798.00 ($1,899.00/ticket).
Prize Conditions: Winner’s guest must be at least twenty-one (21) years of age. Winner’s guest may also be required to complete and return a liability and publicity (where lawful) release prior to prize being awarded. Festival is subject to change. Winner will not receive compensation from Sponsor in the event of any delay, postponement, or cancellation of the Festival. Use of tickets may be subject to additional terms and conditions, including but not limited to terms regarding the rescheduling or cancellation of the Festival. Tickets awarded as prizes may not be resold, offered for resale, or used by Winner for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture. By redeeming tickets, you agree to abide by the health and safety measures in effect at the time of the Festival. Ticket redemption may require a mobile ticketing app and is subject to terms and conditions as stated thereon and provided via such mobile ticketing platform. Winner may be required to provide a valid email address, download the applicable mobile ticketing app to their mobile device, and present tickets at the venue via mobile device. Data rates may apply. Winner is solely responsible for any such wireless or data charges associated with such use, including the downloading and use of mobile ticketing app. Sponsor is not liable for any missed events or opportunities or expenses incurred because of any transportation delay or in the event Winner and/or Winner’s guest is late to the festival (through no fault of Sponsor or due to Force Majeure Event, as defined below). Winner and guest may be required to produce government-issued identification prior to entering the Festival. Winner agrees to comply with all venue/Festival policies and regulations, including without limitation, all health and safety protocols, at all times. If at any time, during the Festival, the winner and/or their guest engage in behavior that is illegal, obnoxious, non-sportsmanlike or disruptive or with intent to annoy, abuse threaten or harass any other person (as determined by the Sponsor, Festival or another applicable representative, in their sole discretion), the applicable party reserves the right to terminate the prize or other prize-related experience early, in whole or in part, and send winner and their guest home with no further compensation.
6. PRIZE NOTIFICATION: The potential winner will be notified by the Administrator via direct message (“DM”) through their social media account used to submit their Entry and will be required to respond to the notification (as stated within the notification) within twenty-four (24) hours to accept prize and receive further instructions on how to claim prize. The potential winner will be required to complete, sign and return an IRS Form W-9 (including their social security number) and an Affidavit of Eligibility/Liability Release with (where lawful) a publicity release (“Affidavit”) within twenty-four (24) hours beginning at the time the Administrator sends the Affidavit to winner via email. Failure to return the Affidavit within the specified period may result in prize forfeiture. Sponsor and Promotion Parties are not responsible for suspended or discontinued Internet or wireless service or a change in winner’s social media account or email address, which may result in a potential winner not receiving prize notification. If the prize notification or prize is returned as undeliverable, if the potential winner does not respond to the notification (as instructed within the notification), if the potential winner cannot be verified or is otherwise unable to accept the prize as stated, prize may be forfeited and awarded to an alternate winner. The prize will only be awarded to an eligible entrant residing within the fifty (50) United States and District of Columbia. Sponsor and Promotion Parties are not responsible for any undelivered emails or unanswered DM’s, including without limitation, emails or DM’s that are not received because of potential winner’s privacy or spam filter settings which may divert any Sweepstakes email, including any winner notification email, to a spam or junk folder. Upon forfeiture for any reason, no compensation will be given.
7. LIMITATIONS OF LIABILITY AND RELEASE: As a condition of entering, Entrants agree to release the Sponsor, Promotion Parties, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, and representatives (collectively, “Released Parties”) from any and all liability, loss, or damage incurred with respect to Entrant’s participation in the Sweepstakes and the awarding, receipt, possession, and/or use or misuse of any Prize. No liability or responsibility is assumed by the Released Parties resulting from Entrant's participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information in connection with the Sweepstakes. No responsibility or liability is assumed by the Released Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or network communication problems; errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the network or social media platform in whole or in part for any reason; traffic congestion on the Internet or social media platform, unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of a social media platform or an entrant’s email account used in connection with the Sweepstakes. The Released Parties are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Sweepstakes, the uploading, the processing of entries, the announcement of the prize or in any Sweepstakes-related materials. Use of a social media platform is at user’s own risk. The Released Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer or web-enabled device resulting from participation in the Sweepstakes. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF SPONSOR’S OR PROMOTION PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.
8. RELEASE OF LIABILITY: By participating or attempting to participate in the Sweepstakes, entrants agree (a) to not hold liable or responsible the Released Parties, Instagram and TikTok from any and all claims or actions of any kind whatsoever for injuries, damages or losses to persons and property, including bodily injury and death, arising from or relating to such entrant's participation or inability to participate in the Sweepstakes; (b) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. By accepting a prize, winner (a) agrees that the Released Parties will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes; from acceptance, possession, misuse or use of any prize, including travel thereto, and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and its designees, the right to use his or her name, voice, city/state of residence, photos, video or film clips, or other visual likeness, image, statements, biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, permission, notification or approval, and further compensation or consideration (financial or otherwise), unless prohibited by law. All copyright, trademark or other intellectual property rights in such advertising shall be owned by Sponsor and/or its licensors, and winner hereby disclaims and waives any claim of right to such advertising, as well as any possible claims of misuse of winner’s name, likeness or voice under contract, tort, or any other theory of law. The Released Parties are not liable in the event that any portion of the Sweepstakes (including any prize) is compromised, modified or canceled due to pandemics or epidemics, outbreaks of infectious disease or any other public health crisis including quarantine measures of any government authority or other restrictions, weather, fire, strike, acts of war or terrorism, government restriction, or any other condition beyond their control (a “Force Majeure Event”). In the event that an Entry is confirmed to have been erroneously deleted, lost, or destroyed, the Entrant’s sole remedy shall be another Submission into the Sweepstakes.
9. DISPUTE RESOLUTION AND BINDING ARBITRATION: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. This Sweepstakes is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.
10. GENERAL CONDITIONS: The winner is solely responsible for any taxes on their prize (if any) and will be required to give their social security number to the Administrator as a condition of receiving the prize and will receive an IRS Form 1099 for the retail value of their prize. No cash equivalent or substitution of a non-cash prize is offered, except at the sole discretion of the Sponsor. Any difference between stated value and actual value will not be awarded. No transfer of a prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a prize with another prize of equal or greater value. If for any reason the Sweepstakes is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes or any other factors beyond Sponsor’s reasonable control, Sponsor and Administrator reserve the right, at their sole discretion, to disqualify any individual who is responsible for or who tampers with the operation of the Sweepstakes; violates these Official Rules; violates the Website terms of service, conditions of use and/or applicable general rules or guidelines; acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; engages in fraud, dishonesty or illegal activity; attempts to deliberately damage or corrupt or otherwise attempts to undermine the legitimate operation of the Sweepstakes, and/or Sponsor’s business operations, including without limitation by cheating, hacking, deception, and/or other unfair practices, including but not limited to using automated entry or voting programs and/or devices; colludes to alter the results of the Sweepstakes; and/or gives false or misleading information to Sponsor or Promotion Parties, and Sponsor and Administrator may cancel, modify or terminate the Sweepstakes. In the event of cancellation, Sponsor will randomly award the prize(s) among all eligible, non-suspect Entries received prior to cancellation. This Sweepstakes is offered only in the United States and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts for Collin or Dallas Counties, Texas.

In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern. Additionally, any communication between entrant and Administrator, Sponsor or its agencies, regarding this Sweepstakes (e.g., phone calls, text messages, chats, emails, etc.), may be recorded for quality assurance and training purposes. Winner’s name will be included in a publicly available winner’s list.
11. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules or Affidavit will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE WEBSITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
